Vuephoria Inc. (“Vuephoria”, “We”, “Us”, or “Our”) provides device software and mobile applications (“Software”) for setting up, controlling, and operating our devices, as well as delivering content and other Services (collectively, the “Services”).

You will need to download the related mobile app from an app store (such as the Apple App Store for iOS or Google Play Store for Android) to use the Services.

These Terms govern your use of the Services. By clicking “Agree” during setup or by using the Services, you accept these Terms. If you do not accept them, please return the device to the retailer and refrain from using the Services. Continued use after updates means you accept the modified Terms.

1. Using the Services

a. Internet Connection & Data Transmission
You must supply and pay for your own internet connection. By using the Services, you consent to transmit technical device information to us (e.g., system information, app configurations).

b. Vuephoria Account or Third-Party Account
Access to the Services requires an account with Vuephoria (Vuephoria ID) or a third-party provider (e.g., Google, Facebook). You must provide accurate and current information to create your account and keep it up to date. You’re responsible for maintaining the confidentiality of your login credentials and all actions performed through your account.

c. Third-Party Services (e.g., Google Photos™)
The Services may allow integration with third-party services like Google Photos™. These are governed by those providers’ terms and are outside Vuephoria’s control. Vuephoria is not responsible for content or services provided by third parties.

d. Payment
Some Services are free. Paid Services require payment as specified during signup or via third-party platforms.

e. Availability
While we strive for uninterrupted service, outages or performance issues may occur, influenced by your location or network. Vuephoria reserves the right to modify, suspend, or discontinue parts of the Services without prior notice. You are advised to back up any data, as canceled services may result in data loss.

f. Notifications
By using our Services, you agree to receive notifications—via email, app, or device—about new features or changes to the Services.

2. Content & Intellectual Property

Vuephoria may offer content through its devices, which you may only use as permitted under applicable IP laws. Third-party content is subject to third-party terms and Vuephoria isn’t responsible for its accuracy or legality.

3. Privacy

All your data provided to Vuephoria is handled under Vuephoria’s Privacy Policy. Data shared through third-party services follows those providers’ privacy policies, and Vuephoria bears no liability for such data or its loss.

4. Software License

The Software and intellectual property thereto are licensed, not sold, and owned by Vuephoria or its licensors. You may install one copy per device.
You may not copy, modify, reverse-engineer, transfer, or sublicense the Software except where permitted by law.
Software updates may install automatically; critical updates are recommended to ensure proper functionality.
Portions of the Software may include open-source or third-party components, which are subject to their own licensing terms.
Some file formats might not be supported by our Software due to format differences.

5. No Warranty

The Services and Software are provided “AS IS,” with no express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

6. Limitation of Liability

To the fullest extent allowed by law, Vuephoria and its suppliers are not liable for direct, indirect, incidental, punitive, or consequential damages, including loss of profits or data. Our maximum aggregate liability per customer is either the amount you paid for the Services or USD 250—whichever is greater. This does not apply to personal injury or property damage where law mandates liability. Some jurisdictions may not permit such limitations.

7. General Provisions

If any provision of these Terms is held invalid, the remaining provisions will continue in effect.
You must comply with all applicable export/import laws.
These Terms are governed by the laws of New York State. Legal actions must be filed within two years of claim arising, unless otherwise required by law. Jury trials are waived where permitted.
Vuephoria may amend these Terms at any time. Such changes are effective immediately upon notice or 15 days later if no acceptance is received. Legal updates may take effect immediately. If you disagree, discontinue use.
If translations are provided, the English version prevails in case of discrepancies.
Sections 3 (Privacy), 5 (No Warranty), and 6 (Liability) survive termination.
